((OOC: This topic is private to the Praetorian Empire and the Sundarian Federation))

A large private room in Purgatory had been prepared for the meeting between the Praetorian Noxim family and the Sundarian Oronui family. The room was prepared with luxury seating arrangements for several large Praetorians on one side of a large table and several seats in traditional Sundarian style.

Dareal Noxim had arranged some personal staff and even a security team that did a sweep of the room for possible listening devices before the meeting.

Dareal Noxim was seated on the edge of the table and greeted the new arrivals.

"Welcome to Unity. How was your flight?"

"Quite well, thank you. And thank you for having us here."

Daphne said replying to the greeting by Dareal,

"Though I suspect my father thinks otherwise, which is understandable since I only flew in from Mirda, were as he and the others, have come from Glasslyn. They should join us momentarily."

A large Praetorian male enters the room, followed by his wife and two other Praetorian males. The Praetorian male looks around the room and greets Dareal with a small nod.

After nodding he looks in the direction of Daphne. He bows down in her direction and says: "Greetings, I am Leandro Noxim, member of the council of elders, representative of the Noxim family. It is a pleasure to meet you. Dareal has told me many good things about your family."

"The pleasure is all mine, and I have heard the same things about the Noxim family."

Daphne said in response to the warm greeting by Leandro, and she glanced gratefully at Dareal, who apparently had beeing busy introducing her already. She would invite him for a visit and some more conversation later, once this meeting was concluded. She also greeted the other preatorian politely, making sure she spoke with either of them briefly, as they waited for her father party

Just as she wanted to continue making some more small talk when her father's party arrived, and Daphne introduced him, and the man and woman that accompanied him.

"Might I present my father and head of our family, the Marquis de Oronui. And with him are miss Vivienne, our contact with our Government and the Combte de Roche, as a representative of the other investors we have found willing to partake in this venture."

Dareal Noxim greeted each member of the Sundarian delegation. He was followed by Leandro Noxim who also greeted them individually.

When everybody had settled on a seat the beverages arrived. A minute later Dareal started: "Welcome everyone. It seems we are all here.

Welcome to Unity. We are gathered here to discuss the subject of Intergalactic expansion. Both the Praetorian Empire and the Sundarian Federation have been looking into the galaxy for new opportunities. We have found locations for outposts to outsource our Mass Transit Cargo Freighters industry already.

However we want more. We are considering new opportunities, specifically we want to start looking for a location to build a settlement. Since this is an enormous effort we believe that we should not do this alone. Therefor we called for this meeting to discuss a partnership.

Daphne do you have anything to add?"

"Not immediately," she answered,

"However it seems prudent to consider and explain, if necessary, why each of us present here, is interested. We'd do well to explore any bases for cooperation and interests in specific area's and see were they coincide or overload to make the most of this endeavour.

On a more personal note, I believe there is much to be gained here, but we should all be willing to not forget where we come from and what we hope to achieve.

Combte de Roche, might I start with you?"

"Thank you Lady Daphne, I'd be more than happy too."

The combte continued, as he took a first sip of his drink,

"I trust you are all familiar with the de Savony family and their considerable influence on the Sundarian economy and as such on our Government's policies. I represent a group of investors and smaller firms, that which to challenge the current power the de Savony family holds, and restore some sense of order back to the consumer markets. If we do not act, we fear that over time, the hold the de Savony family has over our economy, puts them in such a position that they could be strong enough to overturn the current government and establish an empire... "

The combte paused briefly to get a measure of the reaction of the praetorian present, realising full well their customs and the position of the emperor with the Empire.

"I mean no disrespect to our hosts, your emperor, or the way your society has evolved, I simply wish to express the opinion of our small group, who feel that the traditional way, as the Federation is ruled by an assembly of tribal representatives, should remain as it currently is." The combte concluded, not to happy with himself, as had made it abundantly clear he wasn't a very good speaker nor seasoned enough diplomat, but atleast he had managed to explain what he considered to be important.

"It seems we are in a similar situation. In the Praetorian Empire the Omnipotari Corporation has grown tremendously into one of the largest economic sub factions within the Empire.

They control the complete crystals supply chain within the Emipre and have the economic power of a small faction. The emperor is not directly threatened by their growth, however he has decreed that we should look into other opportunities outside our current comfort zone of crystals and rare elements. "

"Since Praeto has become the heart of the crystals imperium controlled by the Omnipotari Corporation we believe it is time for the Noxim family to settle elsewhere in the galaxy to expand the Praetorian Empire.

We are gathering support within the Empire to join us in this challenge. We believe that with your family as an ally and partner in this endeavor we could achieve much more."

The Marquise de Oronui stated,

"However, as I understand the current laws and regulations with the Union, this shared endeavour might prove difficult. We would have to carefully study the law on matters of shared property ownership, and work out how we would wish to organise the infrastructure concerning the decision-making and governance.

Lastly, we would need to decide upon a course of action for the production of the settlement and work out a plan to provide the necessary funds and support, both in goods and personnel."

"Our investigators have been looking into this situation.

We totally agree that this is a new concept for Union law, however we believe it is not completely new since a similar concept of shared property is already used for the Cassandra Corporation. The distributing of shares and the board of directors to run the organization could work for us as well. In our case we could decide to split the whole setup of the Settlement in 6 shares with 3 for each of our factions. Each share would have a vote in the board of directors. The only new thing in this equation would be the actual shared territory.

With this concept we still need to decide upon what matters require a majority vote and what matters require a unanimous vote. Furthermore a general course of action on the use of the settlement would be preferable.

I believe this is a good moment to let our organizations cooperatively workout a proposal. We could return to this location to continue our conversation next week. What do you think?"

"I agree," The marquis replied, "and a solution along the line of the Cassandra corporation would be very suitable for our needs."

"In the meantime I should like to take this opportunity to see some of the city and visit several dignitaries. Our staff should be able to sort out most of the details, a week should be sufficient time for them to reach a general consensus on the most pressing matters."

After a week of careful negotiations Lady Daphne was ready to present a draft of the framework agreement, both parties had spend the time on in the past days.

"We have prepared the following framework agreement, similar to the Corporate Bylaws of the Cassandra Corporation, to ensure a few basic regulations and formalize our declaration of intend to work together on the development of a settlement as set forth in the following declaration:

Noxim-Oronui Settlement framework agreement
Shareholders
The House of Noxim and Oronui will each hold a 50% share in this undertaking and up signing this framework agreement, a board will be formed, consisting of 3 representatives chosen by House Noxim and 3 representatives chosen by House Oronui.

Votes
The boardmembers vote on the important decisions. Two types of vote are recognized:
Board Decisions require a simple majority (>50% of the shares in favour)
Strategic Decision require a a overwhelming majority (>90% of the shares in favour)

Voting follows the voting tradition in the Union:
  • Votes will be opened by a member of the board.
  • That member will be responsible for clearly communicating the date of closing for the vote, the options, and those entitled to vote.
  • Votes will be open for at least 7 days.
  • Every board member is entitled to voting, cast votes are weighed at a factor 1.

Board Decisions
Any member of the board can propose a board decision. Board decisions are decisions that are clearly within the current economic scope of the settlement. They are voted upon immediately by all board members.

Examples of Board Decisions are (decisions on):
  • Import & Export policies;
  • Specific implementation plans with zone construction, technology research and special projects in line with the general direction;
  • Where to buy special products and at what price;

Strategic Decisions
Any member of the board can propose a strategic decision. A strategic decision is a decision that changes the general direction or assets of the settlement. Strategic Decisions need to be seconded. After the proposal is seconded, they are voted on immediately by all board members.

Strategic Decisions are decisions on:
  • Altering the framework agreement;
  • the General direction of the development of the settlement;
  • the settlement's Immigration Policy;

Decided upon in agreement
The following costs will be shared equally between the shareholders:
  • Any and all costs concerning:
    Surveying cost, Infrastructure Setup, the Development of first 21 zones, Upkeep, Piracy Patrol, Independence
  • Each House will contribute 1.0 (:pop) to the settlement's (:pop)


Furthermore we propose to commission the Praetorian Scanning fleet, "Explorates" to begin scanning in (:sector) 12 -9, starting (:turn) 192."

Daphne said after she had handed out the draft agreement and given some time for all present to read it.

"Lastly, before we sign, I propose that we discuss a general direction for the settlement and include that in this agreement.
Are there any questions or comments this far?"

"Thank you for presenting the result of the hard work of our families. We believe we have made great progress in the past weeks.

We have tasked the 'Exploratores' towards (:hex) 12 -9. They are waiting for our instructions and can start the survey in (:turn) 192. The Imperial family has ensured us that they will not charge us for the use of the surveying fleet.

For the general direction we propose a focus on (:gasses) and (:organics) and their related products.

This should complement the current strong points of our factions. With the Praetorian Empire in (:crystals) and (:rares) and the Sundarian Federation in (:information) only the (:metals) is not represented yet.

This is why we could decide to harvest a minor share of (:metals) on the settlement or import them to make the production of (:congoods) and (:vehicles) possible.

Daphne could you comment on this and add some perspective from your family?"

"That would suit our purpose just fine,"

Daphne said in response to Dareal's proposal.

"However I'm as of yet unsure about investing too heavily in (:metals).
The real estate available to us is limited and diversifying too much reduces the overall benefits of strong focus on (:gas) and (:organics) though (:metals) would be the most logical choice in order to generate some income.

I believe that instead we should seek to secure a good deal with favourable prices with either the Astai Republic, the Hiocan's or the Daryans and benefit from the expertise of the large metal corporations. This approach will be better in the long run then producing a small share of (:metals) ourselves."

"We agree that a focus on (:metals) would be unwise at this point. To keep the general direction of the settlement clear we could leave the (:metals) out of it. When the time comes we can vote on buying them or mining a small amount on the settlement.

Let's settle in first and start with (:gasses), (:organics) and the derived products as our general direction."
