Dear mister Pendra,

It has been brought to my attention that you have replied to my offer of buying specialisation rights. I would like to take this opportunity to clear up a misunderstanding. I have received the following as your counter-offer, together with this came words to the effect of your unwillingness to give out a majority share.

Conductive Polymers Corporation Franchise agreement
This agreement covers the rights to set up franchise branches of the Conductive Polymers Corporation to further the expansion of the Veolian Organics Industry.

article 1: The Veolian Commonwealth, represented by Duke Iaat Vyapar as current director of the Dryatech Consortium, shall be permitted to set up any amount of franchise businesses of the Conductive Polymers Corporation, as is needed within the Commonwealth.

article 2: For each zone specialised under this agreement, the Veolian Commonwealth will pay the Sundarian Federation a sum of 150 (:tax)

Allow me to explain the misunderstanding I see: I did not intend to acquire a majority share, I wish to acquire just enough shares to allow the Veolian Commonwealth to set up specialized zones without contention. As I was unsure of your corporate model, I opted to include the example number of 50% which of itself does not constitute a majority share (as you would hold the other 50%). I assumed however, that holding that amount of shares would be enough to ensure that the Veolian Commonwealth would be able to specialise those zones we deem necessary.

I understand now, that this might have been communicated more clearly. So I wish to propose a counter-offer to you: we are willing to transfer 600 (:tax), in exchange for 6 (:tax) dividends and the right to autonomously determine what zones are allowed to be franchised under the Conductive Polymers Corporation. We do not require a majority stake, nor the acquisition of shares, as long as we have the guarantee that we can approve the incorporation of those zones we deem necessary.

As you are aware, the real estate in the Smi-Halek System is scarce, and we will not be able to support more than a total of 3 incorporated zones of your corporation. I am sure that you can seen the benefit of receiving 600 (:tax) instead of 300 (:tax)? We believe that you will make more than 6 (:tax) extra income with the investment of the 600 (:tax) we offer you, so we ask a small dividend over the investment, so that we both can benefit from this arrangement. I am sure that you agree with me that this would increase our total income faster than if we were to just pay you the sum of 150 (:tax) now, and maybe another 150 (:tax) at some point in the future?

I received your reply to our offer from Mister Pendra and am charged, on behalf of the Oversight Committee, to continue the negotiations in the matter of the Veolian Commonwealth acquiring a franchise agreement to cover their needed expansion of the Organics Industry.

After studying your reply and consulting briefly with my father, Lord Leandres, I believe I now understand the cause of the problem. Let me try to explain to you, in a bit more detail, why the Oversight committee has decided to offer you a franchise agreement, instead of accepting your offer of 600 (:tax) .

Looking back at the previous communications by Mister Pendra, Miss Serrah and yourself, I believe that Mister Pendra could have explained the position of the Oversight Committee a bit better. The term 'majority share' has never been the issue, nor has the right to autonomously determine what zones are allowed to be franchised under the Conductive Polymers Corporation as long as they are with the territory of the Commonwealth.

I am aware that the suitable real estate in the Smi-Halek System is limited and the amount of incorporated zones will be relatively low and as a result your offer of 600 (:tax) would net us more, but by exchanging a 6 (:tax) dividends in return, the economical prospects and the return over the investment for this corporate endeavour would fall below minimum requirements set by the Sundarian Council and would result in an inquiry by the Council and possibly the Civil Integrity Committee.

While my father and the other member of the Oversight Committee feel confident enough to deal with such an inquiry, they prefer not to damage their reputation and have thus sought for an alternative to provide the Commonwealth with the additional rights they need to facilitate the expansion of the Organics Industry. This resulted in the franchise agreement you already received.

Dear lady Koniova,

It is a pleasure to hear such a frank explanation of the problem. If the return on investment is the issue, we might yet arrive at a suitable solution that satisfies both your father, and the request of the Dryatech Consortium. Though I am much in favour of acquiring a stake in the Conductive Polymers Corporation, and the associated dividends I am willing to negotiate on the propose solution.

I see that you have added a condition to the contract which was clearly not stipulated by my original proposal: "as long as they are with the territory of the Commonwealth" This causes me some concern. As you have just agreed with me, the Smi-Halek system has little real estate. Because of this, I wish to ensure that we can continue our corporate venture in foreign territory, should the need for this arise. We are willing to accept the proposed offer if the requirements that the zones be in our own territory is waived, and we receive the dividends from the zones we incorporate under this agreement.

I hope you can forgive me for not handing over this negotiation to a suitable lady from House Iaat. It seems I have been absent from active negotiations for too long, and wish to sharpen my skills. I would be honoured if you decide to to continue these negotiations directly with me, though I would not be insulted if you request that I hand these negotiations off to someone more suited to your tastes.

Honoured Duke,

It would be my pleasure to continue these negotiations with you personally, as they would provide me valuable insights in the Veolian Culture and customs, in this manner pertaining to negotiations and the relevance of gender. I have no direct desire to speak to lady you may perhaps find more suitable then yourself, as I am merely interested in speaking to a person qualified and believe that you are.

The Committee has no problems with the Commonwealth claiming dividends from the zones incorporated under the franchise agreement, as the investments are made by you, and we are already compensated.

I have, be it briefly, spoken with my father once more and informed him of your response in this matter. The Committee is reluctant to waive the territorial condition, but perhaps we can find a suitable way to solve this problem. I could persuade my father to use his influence in the committee and steer towards an agreement without the territorial limitation, however that would place House Iaat in my debt. In return I would propose that you, or House Iaat, would do my a favour, when I have a need for it.

Would this be acceptable?
